The Isosceles Group ("Isosceles") reserves all rights, and retains ownership of, and the copyright to, all of its products. Purchase of its products are for the purchaser’s ("user" or "you") sole use. No product may be reproduced, republished, provided to another, uploaded, transmitted, modified, distributed, displayed or sold without the written authorization of Isosceles.
Representations and Warranties
Isosceles’ products are intended to serve only as general background information about the environmental, health and safety laws and regulations of the covered jurisdiction(s). The information is not intended to serve as guidance or advice in connection with any particular problem, issue, or transaction arising thereunder.

General Indemnification
To the fullest extent allowed by law, user shall indemnify and hold harmless Isosceles and Isosceles’ directors, officers, consultants, subcontractors, agents and employees, from and against all claims, damages, losses, liabilities and expenses, including, but not limited to attorneys’ fees, arising out of or resulting from user’s use of Isosceles’ products.
Limitation of Liability
To the fullest extent permitted by law, the total liability, in the aggregate, of Isosceles, its officers, directors, employees, agents, independent professional consultants and associates, and any combination of them to user, as well as any claims by, through, or under user for any or all injuries, claims, liabilities, losses, expenses, or damages whatsoever, arising out of, or in any way related to, Isosceles’ products shall not exceed the cost of the product(s) purchased, or $50,000, whichever is less. This limitation shall apply to the fullest extent permitted by law, and includes, but is not limited to, claims or actions alleging negligence, errors, omissions, strict liability, breach of contract, breach of warranty of Isosceles, its officers, directors, employees, agents, independent professional associates, consultants, or any combination thereof.
Force Majeure
If the user purchases a product to be delivered at a later date, Isosceles is not responsible for any failure to perform its obligations if it is prevented or delayed in performing those obligations by an event of force majeure. Isosceles will notify the user within three (3) business days, should this occur, and will use reasonable efforts to fulfill its obligations to user. Should the event of force majeure prevent Isosceles from fulfilling its obligations to user, Isosceles shall not be liable for any costs, damages, losses, claims, or expenses incurred by user as a result of the event.
An event of force majeure is an event or circumstance which is beyond the control and without the fault or negligence of Isosceles and which by the exercise of reasonable diligence, Isosceles was unable to prevent. Such events and circumstances include but are not limited to the following: riot, war, invasion, acts of foreign enemies, terrorism; earthquake, flooding, fires, blizzards, and other natural disasters.
Limitation on Actions
The time-period within which user may assert a cause of action arising from or incident to the purchase of Isosceles’ products is 365 consecutive calendar days from the date on which the cause of action accrued or the date on which user should have known that the cause of action had accrued.
Dispute Resolution
Any claims, disputes, or controversies against Isosceles, arising out of, incident, or related in any way to the user’s purchase of Isosceles’ products shall be submitted to and resolved by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and at its office located in the Commonwealth of Massachusetts. The resolution of the AAA shall be binding.
Governing Law and Forum
Only the laws of the State of Delaware govern these Terms and Conditions of Purchase and the purchase of Isosceles’ products, as well as each matter that arises from or is incident to these Terms and Conditions of Purchase and the purchase of Isosceles’ products. Any dispute arising from the above that is not resolved through arbitration shall be resolved only in the courts and regulatory agencies of or in the Commonwealth of Massachusetts. If it is not possible to resolve the disputes in the Commonwealth of Massachusetts under Delaware law, then disputes shall be resolved in the courts and regulatory agencies of or in the State of Delaware.
Severability
In the event that any section of these Terms and Conditions of Purchase, or any provision of any such section, shall for any reason be held to be wholly invalid, illegal or unenforceable, such invalidity, illegality, or unenforceability shall not affect any other section hereof, or any other provision of an affected section, and the Terms and Conditions of Purchase shall be construed as if, and enforced as fully as if, such invalid, illegal or unenforceable section or provision had never been contained herein. In the event any section, or any provision thereof, is found to be partially invalid, illegal or unenforceable, then such section or provision shall be enforced to the extent not invalid, illegal or unenforceable, and its partial invalidity, illegality or unenforceability shall not affect any other section of the Terms and Conditions of Purchase.
